B2B Master Services Agreement

Terms of Service

Master commercial terms governing hardware sourcing, structured cabling deployment, SLA technical support, and channel warranty execution by Batcham Technologies Limited.

Corporate Scope & Acceptance

These Terms of Service ("Agreement") constitute a legally binding contract between Batcham Technologies Limited (RC-1303851) ("Batcham", "Integrator", "we", or "us") and any corporate entity, educational institution, or client ("Client", "Buyer", "you") engaging our services for IT hardware procurement, structured cabling, IP surveillance, telecom, cloud, or backup power infrastructure.

By issuing a Purchase Order (PO), executing a Scoping Proposal, approving a baseline invoice, or accepting delivery of hardware/engineering services, the Client unconditionally agrees to these Terms.

Scoping Proposals, Pricing & Payment Terms

All B2B project engagements are initiated through an official itemized technical scoping proposal issued by Batcham engineers.

Baseline Corporate Qualification

Standard corporate hardware procurement and cabling packages carry a baseline project qualification starting from ₦500,000. Quotes are valid for 14 calendar days from the date of issuance due to FX volatility.

Milestone Invoicing & Currency

Unless specified in a formal SLA agreement, hardware sourcing requires a minimum 70% mobilization deposit prior to channel order placement. The remaining 30% balance is due upon Fluke cable testing sign-off or hardware delivery handover. All transactions are denominated in Nigerian Naira (NGN).

Authorized Channel Sourcing & Warranty RMA Execution

Zero Open-Market Risk Guarantee: Batcham strictly prohibits the procurement of hardware from open retail markets, informal vendors, or grey-market merchants (e.g., Ikeja Computer Village). Every laptop, server, switch, and camera is ordered directly through official brand distribution channels with verifiable serial numbers.

Factory Warranties: Equipment is backed by 100% direct manufacturer warranties (HP Enterprise, Dell Technologies, Lenovo Business, APC Schneider, Microsoft 365).

RMA Management: In the event of hardware failure during the warranty period, Batcham acts as your direct primary contact. We manage the entire Return Merchandise Authorization (RMA) process with factory support desks, providing loaner equipment where applicable under active SLA contracts.

Site Access, Cabling Standards & Fluke Sign-Off

For structured Cat6/Cat6a cabling, fiber backbone links, server rack installation, and CCTV deployments:

  • Site Preparation: Client agrees to provide uninterrupted access to facility floorplans, server rooms, cable risers, and stable electrical power during agreed engineering hours.
  • Engineering Standards: All cabling runs are color-coded, labeled, and patch-panel terminated strictly to TIA/EIA international standards.
  • Project Testing & Sign-Off: Upon completion, cabling drops are certified using Fluke Networks testing equipment. Project handover is formally completed upon execution of the Joint Engineering Certificate.

Lekki-Ajah Corridor SLA & Rapid Response

Batcham maintains a dedicated local engineering crew stationed along the Lekki-Epe express corridor.

Clients with active Service Level Agreements (SLAs) benefit from target 30-minute to 2-hour on-site rapid response times across Victoria Island, Ikoyi, Lekki Phase 1 & 2, Chevron axis, Ikota, Ajah, and the Lekki Free Zone industrial hub for mission-critical network outages.

Intellectual Property & Network Documentation

Upon full payment of invoice balances, the Client receives full ownership of all custom physical installations, network schematic maps, rack layout diagrams, and technical handover manuals. Batcham retains ownership of proprietary scoping templates and pre-deployment software scripts.

Limitation of Liability & Force Majeure

Limitation of Liability: To the maximum extent permitted by Nigerian law, Batcham's total aggregate liability for any operational loss, downtime, or breach arising out of a project shall not exceed the total contract fees paid by the Client for that specific scope of work.

Force Majeure: Neither party shall be held liable for failure or delay in performance caused by events beyond reasonable control, including severe utility power grid collapse, national fiber optic line cuts by civil construction, flood, riots, or official state-declared emergencies.

Confidentiality & Data Protection

Both parties agree to hold all technical IP configurations, server credentials, network topology diagrams, and commercial pricing in strict confidence. Processing of executive contact data is governed strictly by our Corporate Privacy Policy in compliance with the Nigeria Data Protection Act (NDPA 2023).

Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

Any dispute arising from or in connection with a project contract shall first be submitted to good-faith executive negotiation. If unresolved within 30 days, the dispute shall be referred to arbitration in Lagos State, Nigeria, in accordance with the Arbitration and Mediation Act of Nigeria.
